If Mason and Shepherd are unable to secure patent protection for their IP, they should simply proceed as aggressively as possible. With this essay I will lay out the basis for the book with the hopes of highlighting its strengths as well as pointing out possible shortcomings in an attempt to demonstrate the always challenging effort to combine forces for a common social agenda. The major strength of the book is fortified by its willingness to critique the previous short-sided solutions put forth by international governmental institutions such as the World Health Organization and the International Monetary Fund. Their argument, based on the cultural shift of the 1960ââ¬â¢s and accelerated through the technological innovations that facilitate both global and local communicative strategies and alliances, points toward transnational advocacy networks that ââ¬Ëcarry and re-frame ideas, insert them in policy debates, pressure for regime formation, and enforce existing norms and rules, at the same time that they try to influence particular domestic political issuesââ¬â¢ (p. 199).à In this way, they are trying to both work around the existing discourse of international policy while at the same time trying to reform the discussion from within, albeit via non-governmental organizations. This idealism can also be the shortcoming of the book as well because it breaks apart the mythological unified dimension of international advocacy groups .à The nature of the transnational advocacy groups necessitates the fragmentation of a unified group that could possibly carry the necessary force to grab the headlines and attention of groups such as the WHO and IMF.à By leaving their argument based on a symbolic narrative of ââ¬Ëtransnational advocacy groupsââ¬â¢ but leaving out possibly critiques against them, the authors unfortunately invite further critique, even from parties that ideally agree with them, like myself. One notable success story, a very tragic one at base, is the example of Cindy Sheehan and her epic battle to gain international support for trying to bring an end to the war in Iraq.à She has been fearless in her fight and in doing so has mobilized thousands of supporters throughout the international community as well as garnering a wealth of complementary media coverage that leverages her cause against an extremely vulnerable an emotionally taxing target.à Her extreme measures and lack of fear have on the one hand created a groundswell of public admiration and support, but at the same time she has run the risk of overexposure and the resulting media backlash by over saturating her symbolic politics. This is a fine line that Margaret Keck and Kathryn Sikkink acknowledge in their research and it is part and parcel to the overall struggle that transnational advocacy groups face in their battle to garner the necessary support of intellectuals, parallel advocacy groups, sympathetic non-governmental agencies, and ultimately the financial and ideological backing of official governmental policy groups that hold the power to enact and enforce the changes that are being fought for.

Zanuck, unintimidated by the acts of protest, bought the screen rights for $70,000 and quickly sought out talent to carry out the job. Nunnally Johnson was his first hire who was assigned as both an associate producer and screenwriter. Nunnallys take on the film is more hopeful than the novel, as he is quoted saying the only real change I made and I had to make it was in the ending. There had to be some hope (1). Riddled with controversy from the start, Zanuck and Ford used a pseudonym for the film, Highway 66. The production was referred to by this title in the script and by those on-set. Steinbecks novel left people in the Dust Bowl feeling misrepresented as it cast them as desperate, living an archaic way of life. Oklahoma Congressman Lyde Bored went as far to call the book a lie, a black, infernal creation of a twisted, distorted mind (2). No one involved with the making of the film seemed to want to cause harm, but instead, to begin a conversation. This is not entirely true though, as Zanuck did encourage the controversy by perpetuating the argument over censorship, as he thought it would bring the project notoriety. I will begin by talking about John Steinbeck, a beloved and prolific author responsible for some of the most recognizable pieces of social-political work such as Animal Farm, Of Mice and Men, East of Eden, and of course, The Grapes of Wrath, all of which were carried from page to screen. Steinbeck was known to have a knack for the way people spoke, picking up phrases and jargon as he observed each new group of people. In 1962, just six years prior to his young death, Steinbeck was awarded a Nobel Prize in Literature for his revealing humor and keen social perception (5). Born in California, Steinbeck would build a career writing critically about American life, specifically west-coast living. Steinbeck had the particular skill of empathizing with a way of life foreign to his own. His work was usually more interested in the layman world rather than that of the bourgeoisie. In Of Mice and Men, Steinbeck pens the story of two migrant workers who move to California looking for work during the Great Depression. This premise, which is strikingly similar to The Grapes of Wrath, remained the main lane Steinbeck traveled in, infrequently deviating beyond these fields of interest. Regardless, he did groundbreaking work in these fields, stirring controversy with nearly every release. His focus on the underdog often teetered into sympathy which the average American reader was unwilling to grapple with. Author Warren French, in his book Filmguide to Grapes of Wrath, claims Steinbecks novelprovided him a perfect vehicle for exploiting Americans guilt about social inequality (2). Despite this, he was accused on multiple occasions of misrepresenting the groups of people he chose to write about. Director of Wrath, John Ford, had similar controversy surrounding his name, as he was one of the pioneers and frequent users of the western genre. Fords filmography is cluttered with stories of nameless Native Americans and glamorized cowboys typical of the genre at the time, which has in modern years been properly problematized. Despite the convoluted politics surrounding his work, it isnt to say that Ford was a man unconcerned with justice or morality. In fact, he regarded himself an Irish Rebel indebted to the lower class and hellbent on doing them justice through accurate representation and relevant issues. He is quoted saying, I like, as a director and spectator, simple, direct, frank films. Nothing disgusts me more than snobbism, mannerism, technical gravity and, most of all, intellectualism (5). For this reason, Ford made films that were accessible to all, not veiled in some ambiguous artistic cloak. Ford considered himself an Irish rebel due to the influence his heritage had on him. He sympathized with the Irish and their history, particularly an era when the population was living under British occupation for 100s of years. According to Joseph McBride in his biography Searching for John Ford, Ford despised cops for this reason (6). He was particularly sympathetic to the years his ancestors spent in famine, citing that as a reason he moved forward with the screen transition of Wrath (6). But, when Wrath was released, theatergoers at the time were more used to escapism and grand-scale action so Wrath served as a change of pace. Not to say that Ford was alone in picking at the threads of society the same year Wrath was released, Charlie Chaplin captured the world with the harsh and reflexive The Great Dictator. Ford though preferred a more subdued style, letting the content take center stage. This is very much the case with Wrath. The cinematography seems to be the only impositio n of style into the story. Ford was not the only confusing and ever-changing person behind the scenes of Wrath. Darryl Zanuck, similarly to Ford, welcomed controversy. And, when involving Wrath, Zanuck sought it out. After scooping the rights to the novel for $70,000 just a week after publication, Zanuck assured the public, to their dismay, that the film will, in fact, enter production and be released (3). As I briefly covered above, protests were not only invoked by the book but also by talks of a film adaption. After the Studios bidding war, which the public assumed was a stunt to grab the rights and shelve the book, Zanuck proudly scoffed, Show me the man who can prove I would pay $75,000 to throw away a book and Ill make a movie of him. (3). Zanuck did not act in pure virtue though. It was suspected at the time that Zanuck was hungry for a hit. Following a successful but turbulent stint at Warner Bros., he left the Studio due to financial dissatisfaction and was in search for new work (2). It was not long before he hunkered down at 20th Century Pictures where he got to work on what would be his most discussed adventure The Grapes of Wrath. Zanuck was no stranger to stirring the pot. He incited public outpour in the past with films such as Ham and Eggs at the Front, which featured a character in blackface, and The Fugitive from a Chain Gang, which portrayed the inhuman conditions of prison and sympathized with an outlaw on the run. So, when it came to Wrath, it was only proper that Zanuck leaned into the controversy surrounding it. Now that we have a general understanding of the main players in the saga of Wrath from page to screen, I will now further discuss my findings. Interestingly, Zanuck and Ford took careful consideration of the story and representation despite appearing brandish to the press. Before production began, Zanuck sought to find truth in the Steinbecks desperate portal of the Okies. Zanuck commissioned private investigators to travel slightly east, along the active path of migration. He demanded to know the true conditions of the migrants. They were instructed to go to migrant camps and take notes on what they saw. To his surprise, the investigators came back with a startling revelation the conditions at the camps were drastically worse than displayed in the novel. Knowing this, Zanuck felt more comfortable and compelled to push ahead with the production of Wrath. He was quick to cue in the public on this fact, attempting to ease outrage and encourage anticipation (3). In the lead up to production, with pre-production nearly under wraps, Zanuck and Ford demanded tight-lipped privacy. Multiple measures were taken to ensure the contents of the script and chosen locations were kept secret. Nunnally penned the script under the name Highway 66 and until the product was finished, only three copies were distributed each time: one for Zanuck, one for Ford, and one for Henry Fonda. The copies were to be kept to themselves (2). Once production began, it was also veiled in secrecy. Every copy of the script was collected at the end of each shooting day. Not to mention, a large a portion of the budget was dedicated to replicating the Dust Bowl in the back of a stage lot so the media was unaware of what they were shooting (1). They even went against code formalities and left certain on-location sets unnamed. Much of the reason Zanuck and Ford were insistent on secrecy was due to the brutality of the story they were trying to tell. The public, along with the MPAA, demanded a softer version of Steinbecks novel, one that dismissed much of the profanity in favor of adventure and companionship (3). Despite this desire, the two did not want to dull the cruelty of the novel and promised Steinbeck they would do no such thing. Within the week before Zanuck bought the rights, Steinbeck proclaimed, I am quite sure no picture company would want this new book whole [but] it is not for sale any other way (2). Due to Steinbecks trepidations regarding the adaption and the softening of its content, Zanuck promised him there would be no dodging the grim truth of the book. Following the release, Steinbeck was quick to give his opinion: It looks and feels like a documentary film and certainly it has a hard, truthful rind, No punches were pulled. Zanuck has more than kept his word. He has a hard, straight pi cture. Despite Steinbecks satisfaction and the financial success of the film, the picture was met with polarized critics and fans. Grace Liechinger, in her Wall Street Journal review of the film, claimed it to be,a nihilistic assault on a childs or parents sensibilities. But, in the same vein, many also recognized the importance from its release. In his 1940 review of the film featured in The Evening Herald, Jimmy Starr acclaimed Wrath to bestinging like a dramatic lash across the face John Steinbeck [slurs] at California with Hollywoods most controversial drama (9). Another critic credited the film to a candid presentation of the horrors the migrants faced. Most notably, critic Frank S. Nugent had it right when he claimed Wrath, from the moment of its release, claimed a spot on the shelf along the most vital pictures ever released (10). No matter which angle you look at it from, the film inspired conversation and influence that was rare. In nearly every review published from the release, critics were compelled to talk about the loyalty to the content of the book, whether for good or bad. They also frequently mentioned the controversy that ensued during the bidding war. Critics rarely distanced the film from Steinbeck, as most mentioned and spent time covering the source material and anecdotes from the adaption, as well as credited him with the stark and critical notions of American society which made its way to screen. From reading and assembling reviews, interviews, and books about the subject, it appears Zanuck and Ford wanted to accurately turn a novel concerned with social justice into a film with similar consideration. And, despite the circus that ensued, they delivered a film that was both conscientious of its subjects and the audience. As noted in The Great Film Series, Paul G. Rotha Richard Griffith are quo ted from their book The Film Till Now acknowledging that for the first time, millions of Americans saw their faces, and their fate, on the entertainment screen (8).

Text to World Connection: A connection that I can make from the text to the world is education and health. In the story Ged went in to a coma when the monster claws his face off. I can relate this to the world because a lot of kids who go to school often hurt themselves with injuries and will have to miss out on school and they might not be the same again. This can even relate in professional sports as a player for the Chicago Bulls of the NBA named Derrick Rose had multiple knee injuries which did not let him play for a long time and now he can never live up to the outstanding player he was in his younger days. Two Former Tyco Executives Found Guilty Free Essays

The past three years have witnessed stunning financial collapses in many companies that were ranked among the most admired companies in America. Sunbeam, Enron, WorldCom, Tyco, and HealthSouth were lauded, imitated, and studied for their stunning performances. Now they are studied for their failures. Tyco International CEO Dennis Kozlowski, former CFO Mark Swartz, and former general counsel Mark Belnick were all indicted on charges that Kozlowski and Swartz, among others, stole $170 million from the company and pocketing $430 million from the fraudulent sale of Tyco stock. Belnick was charged with hiding $14 million in loans to himself. Tycoââ¬â¢s management fired back as well. It filed a lawsuit against Kozlowski looking to recoup $244 million in pay and benefits. Tyco, over the period between 1964 and 2001, went from a small research firm based in New Hampshire to a conglomerate with a presence in over 100 countries and over 250,000 employees. Between 1991 and 2001, then-CEO Dennis Kozlowski took Tyco from $3 billion in annual sales to $36 billion in 2001 with over 200 acquisitions at a cost of $60 billion. It was through its expansive acquisition program that Tycoââ¬â¢s accounting pushed the envelope. Tyco made its acquisitions look as anemic as possible. Called ââ¬Å"spring-loading,â⬠the goal was to have the acquired company seem to be a nonperformer in terms of earnings, much below its actual performance. However, if the acquired company then simply performs normally the following year, Tyco enjoys a boost to both its growth as well as respect for its management ability. Spring-loading is easily accomplished by, for example, having the acquired company pay all bills for the acquisition, even if that bill is not due, and also pay all other bills, whether they are due and owing. Raychemââ¬â¢s treasurer sent out the following email when Tyco was acquiring Raychem: At Tycoââ¬â¢s request, all major Raychem sites will pay all pending payables, whether they are due or not â⬠¦ I understand from Ray [Raychemââ¬â¢s CFO] that we have agreed to do this, even though we will be spending the money for no tangible benefit either to Raychem or Tyco. A report completed by David Boies, at the direction of Tycoââ¬â¢s board, included an interview with an employee of another Tyco acquisition in which the employee indicates that a Tyco executive asked: ââ¬Å"How high can we get these things? How can we justify getting this higher?â⬠(Ackroyd Thompson, 1999). The Boies report indicates that Tyco executives used both incentives and pressure on executives in order to get them to push the envelope on accounting rules in the acquisition process. The SEC has begun an investigation into Tycoââ¬â¢s accounting in its acquisition of U.S. Surgical in 1998. Documents in the case include memoranda between Tyco financial executives proposing ways to slow U.S. Surgicalââ¬â¢s growth between the Tyco acquisition announcement and actual transfers of the assets. The memos refer to their ideas as ââ¬Å"financial engineeringâ⬠. Just prior to final closure, U.S. Surgical took a one-time hit of $322 million in miscellaneous charges. Beginning in the last quarter of 2001, Tycoââ¬â¢s shares began to drop in price as shareholders realized the extent of the accounting creativity. By the summer of 2002, when Kozlowski was indicted for sales tax evasion on transactions involving his personal art collection, shareholder trust was dissipated and Tycoââ¬â¢s shares had fallen 80 percent, from over $50 per share to just above $10. For purposes of examining ethics instruction for accountants, auditors, and managers, there are two common factors in these case studies. First, the financial pictures painted of the companies were grossly distorted. Only the level of sophistication in terms of masking the true financial condition varies among the companies. Enron used the slightly more nuanced SPEs while WorldCom used the less glitzy sleight of hand in turning ordinary expenses into capital expenses. Sunbeam relied on quantitative materiality standards to evade detection of its management of numbers, and HealthSouth seemed to start with the numbers it wanted for results and work backward. Second, these were also companies trying to maintain exponential growth. There were continuing pledges from their CEOs to keep the double-digit growth going. That pressure to maintain numbers increased with each passing quarter as the economy took a downturn and as their once unique strategies for growth fell victim to competition or the realities of economic cycles. The distortions were a function of their goals of maintaining an unrealistic pace of earnings growth. In short, individuals in the companies felt pressure and succumbed to deceit to satisfy increasing demands. These companies and those responsible for their financial reports were not dabbling in gray areas. The issues in these cases are clear and the conduct plainly wrong. With all the training in ethics and professional responsibility, the question that arises is as follows: How could so much go so wrong for so long in such large companies with no one raising an effective objection to halt the juggernauts of creative financial reporting and accounting? That this question must be posed in the wake of such staggering failures actually provides the answer. The answer is that those who were engaged in the creative and, often, not-so-creative but fraudulent accounting were trained in schools of business in which the curriculum (including ethics courses) is misguided in terms of training ethical leaders. The senior officer group of Enron included M.B.A.s who were trained during the financial wizardry era of M.B.A. programs in the 1980s. Mark Schwartz, the CFO of Tyco, held an M.B.A. Jeffrey K. Skilling, the former CEO of Enron, held an M.B.A. from Harvard. Andrew Fastow, then CFO, graduated from the Kellogg School at Northwestern. Clifford Baxter, another member of Enronââ¬â¢s senior executive team, graduated from NYUââ¬â¢s M.B.A. program. Tragically, Mr. Baxter took his own life following the collapse of Enron and during the period of daily revelations about its activities and the pending Congressional hearings. While the role of business in society and the issues surrounding maximizing shareholder wealth are typical topics of coverage in ethics courses and modules in business schools, very little in textbooks and mandates from the American Assembly of Collegiate Schools of Business (AACSB) focuses on moral absolutes or ââ¬Å"bright lineâ⬠virtue ethics such as honesty, fairness, or even false impressions in financial disclosures. The AACSB guidelines contain no mandates or references to these issues of honesty or training students in resolution of dilemmas involving honesty, disclosure, and false impression. The typical topics for business ethics textbooks, indeed for the literature in the field, center around social responsibility, and include a plethora of materials and cases on environmental issues, health and safety issues, sweatshops, diversity, and corporate philanthropy. The officers of all of the companies examined here and the companies themselves were all heavily involved in community and philanthropic work. Because of the focus of business schools on social responsibility as ethics, many of these officers and, to a large extent, the cultures of these companies, felt comfortable with deceptions in the name of shareholder value because they were accomplishing what they were trained to do in business school and they had ethics derived from their dedication to philanthropy, diversity, and environmentalism. These were all ââ¬Å"softâ⬠companies in the sense that they were not involved in those types of activities that are the targets of environmental protesters or labor activists. These were not companies running sweatshops or producing chemicals. Their perception of being ââ¬Å"goodâ⬠derived from the definition of good touted and taught by business ethicists in schools of business. The split, in their minds, between right and wrong did not lie along the lines of virtue ethics, but, rather, along the lines of social responsibility. Enronââ¬â¢s CFO, Andrew Fastow, was beloved in Houstonââ¬â¢s Jewish community for his fund-raising for the cityââ¬â¢s proposed Holocaust museum. He was also involved in the cityââ¬â¢s art museum and virtually every other philanthropic cause related to the arts in the Houston area. Even those who worked with these officers in community projects and fund-raising had equated social responsibility with ethics, and were consistently shocked when Enronââ¬â¢s financial conduct and reports were revealed. All of the companies noted here, as well as Charles Keatingââ¬â¢s American Continental and Finova Capital (the 7th-largest bankruptcy in the history of the United States), were widely known for their dedication to philanthropic activity, social responsibility, environmental activism, and dedication to community generosity. The curricula at business schools had permitted them the luxury of rationalization when it came to accounting and financial reporting because, in their minds, they had reached the conclusion Jeffrey Skilling touted in nearly every interview he gave, which was, ââ¬Å"We are on the side of angelsâ⬠. The behavior of executives in these companies reflects their grounding in any one of the three currently used models of business school ethics training: (1) the social responsibility model; (2) the code model; and (3) the stakeholder/normative model. Under the social responsibility model, students are educated in the importance of environmentalism, diversity, human rights, and philanthropy. Included in this approach may also be extensive discussions of product liability issues. Deficiencies in this approach are characterized in the previous section. The most descriptive list of this approach to ethics is found in the screens used by social responsibility investment funds, listed as follows: 1. The hiring of women and minorities; 3. Equity interest and ownership of South African operations (this screen is now dated because of the elimination of apartheid); 5. No layoffs and the hiring and promotion of those with disabilities; 6. No generation of revenue from weapons production; 7. Donations and the use of economically disadvantaged contractors and suppliers; and So long as stock prices are cranking up, it seems the CEO can be ââ¬Å"cellophane manâ⬠for all anyone cares. But CEO divas are still quite an item in the business press. One thing is clear: Credibility and character count. Post-Enron, integrity and fair play matter more than the old gung-ho. Press reports about the lack of executive integrity are everywhere. One notable media story exposed the rise of companies conducting extensive background checks, complete with credit reports and neighbor interviews, for prospective CEOs. Ronald Zarrella, Bausch and Lombââ¬â¢s chief executive, was found to have shaded the truth about his credentials, saying he had an M.B.A. from New York University. Actually, he left prior to graduating. The board responded by cutting him out of a $1.1 million year-end bonus. Today CEOs are getting slammed for hoarding huge bonuses as they terminate legions of mid-level managers and production workers in the face of recession fears. Dennis Koslowski, CEO of Tyco, siphoned off millions from the firm by granting and forgiving employee relocation loans. He used the wealth for such essentials as a $15,000 umbrella. A guilty plea by one auditor and the criminal conviction of his audit firm have resulted in statutory reform, new policies on financial reporting, and stricter regulatory requirements for audit firms. When all the reform dust settles, however, and the new statutes, regulations, and rules are implemented, auditors and those who educate them will still be left with the same question: why were auditors willing to allow the types of financial reports and reporting decisions that produced fundamentally unfair and inaccurate portraits of the companies they were auditing? The answer to this question requires exploration of ethics education in both business schools and schools of accountancy. While there are voids in that training, there are also seminal works that could be used to help future accountants and auditors understand the dilemmas they will face and how to resolve such dilemmas. The Israeli bank-shares fiasco, the Enron affair, and, in its wake now, the WorldCom and Tyco scandals clearly demonstrate that unethical managers are a liability not only to their own organizations, but to the general public. The problem is that the formulation and publication of codes of ethics alone do not guarantee that managers and employees will behave ethically. Moreover, it is evident that managerial ethical behavior has a great deal of influence on the ethical climate and culture of the organization. Walking the talk is the name of the game, managers must not only be familiar with the ethical culture and accept it, but must serve as examples to the rest of the corporation. Any disparity between the declared ideology of the organization and managersââ¬â¢ behavior has a deleterious effect. To establish a reputation of ethical leadership, managers must adhere to a high moral ground and ensure that their actions are perceived to be ethical. When ethical dilemmas are not confronted and when ethical aspects of daily managerial life are ignored, employees quickly perceive that ethical considerations do not constitute an integral component of the organization. They may rightly observe that bottom line and profits, not integrity and accountability, are core values.
